Instrument of Withdrawal from the South Asia Food and Nutrition Security Initiative,
                         Phase II (SAFANSI II) Multi-Donor Trust Fund
            (Original Trust Fund No. TF072171; Parallel Trust Fund No. TF072731)
                                 (Donor Reference No. 201093)

1.     Reference is made to: (a) the Administration Arrangement between the United Kingdom
of Great Britain and Northern Ireland, represented by the Department for International
Development (“DFID”) (the “Donor”) and the International Bank for Reconstruction and
Development (“IBRD”) and the International Development Association (“IDA” and together with
IBRD, the “Bank”) concerning the South Asia Food and Nutrition Security Initiative, Phase II
(SAFANSI II) Multi-Donor Trust Fund (Original Trust Fund No. TF072171) effective as of
December 4, 2014, as amended (the “Administration Arrangement”); and (b) the Supplemental
Arrangement between the Donor and the Bank concerning the SAFANSI II Multi-Donor Trust
Fund (Parallel Trust Fund No. TF072731) effective as of November 24, 2016 (the “Supplemental
Arrangement”).

2.      Reference is also made to: (a) the Donor’s letter dated September 1, 2016, informing the
Bank of its desire to cancel the unpaid contribution under TF072171 and terminate its participation
in the Trust Fund; and (b) the understanding reached between the Donor and the Bank concerning
the Donor’s intention to terminate its participation in the Parallel Trust Fund.

Accordingly, the Donor and the Bank agree to the following:

        (i)      In accordance with paragraph 6.2 of Annex 2 of the Administration Arrangement:

                 (a)     the Donor’s unpaid contribution under TF072171 in the amount of nine
                         million seven hundred thousand Pound Sterling (GBP 9,700,000) is
                         cancelled effective immediately upon countersignature of this letter; and

                 (b)     the Donor's pro rata share of any uncommitted balance under TF072171
                         and TF072731 is cancelled effective as of the last day of the month in
                         which this Instrument is countersigned by the Donor (“Cancellation
                         Date”).

        (ii)     Notwithstanding paragraphs 6.1 and 6.2 of the Administration Arrangement, the
                 Donor hereby waives any rights to receive (a) its pro-rata share of any remaining
                 uncommitted balance under TF072171 and TF072731 as of the Cancellation Date;
                 (b) its pro-rata share of any remaining balance under TF072171 and TF072731 as
                 of the final end-disbursement date; and (c) any funds that the Donor may be entitled
                 to receive after the end-disbursement date under TF072171 and TF072731.

         (iii)   As of the Cancellation Date, the Donor will have no further rights with respect to
                 the Trust Fund including no rights to participate in any applicable governance
                 arrangements of the Original Trust Fund and the Parallel Trust Fund, and the Bank
                 shall have no further obligations to the Donor under the Administration
                 Arrangement, including no obligation to provide financial or progress reports.

3.       Notwithstanding any other provisions under the Administration Arrangement, the Donor
hereby acknowledges that the Bank will retain in perpetuity any funds referred to in paragraphs
2(ii)(b) and 2(ii)(c).

4.       The Bank will disclose this Instrument of Withdrawal (the “Instrument”) and related
information on the South Asia Food and Nutrition Security Initiative, Phase II (SAFANSI II) Multi-
Donor Trust Fund involving both the Original Trust Fund and the Parallel Trust Fund in accordance
with the World Bank Policy on Access to Information. The Donor hereby consents to the disclosure
of this Instrument and related information on the South Asia Food and Nutrition Security Initiative,
Phase II (SAFANSI II) Multi-Donor Trust Fund.

5.       Each of the Participants represents, by confirming its acceptance below, that it is authorized
to enter into this Instrument and act in accordance with its provisions. The Participants are each
requested to sign and date this Instrument, and upon possession by the Bank of this fully signed
Instrument, this Instrument will become effective as of the date of the last signature.
