We refer to the Youth, Employment, Skills Project Financing Agreement (Grant Number H594-LR) and Africa Catalytic Growth Fund (ACGF) Grant Agreement (ACGF Grfnt Number TF097110-LR) (respectively the "Agreement" and collectively the "Agreements") both dated July 29, 2010 between the International Development Association ("w orld Bank" or "Association"") and the Republic of Liberia ("Recipient"). 2. We also refer to your letter dated November 19, 2012 requesting us to amend the Agreements' Eligible Expenditures. 3. The World Bank is pleased to inform you that it has agreed to your request. Th:refore: (A) For the purposes of Grant Number H594-LR: (i) The table in Section IV of Schedule 2 to the Agreement is deleted and replaced with the table below. Category of Eligible Expenditure Allocation (SDR) % of Financing (inclusive of Taxes) (1) Consultants' services, goods, works, 4,000,000 100% vehicles, Subprojects, Trai iing and Workshops, and Incremental Operating Costs related to activities under Part I of the Project TOTAL AMOUNT 4,000,000 (ii) Paragrapt. 27 of Section I of the Appendix to the Agreement is amended to read as follows: " "SuOproject" means a set of activities to be financed by LACE and tc be carried out under the supervision of LACE and with the involvement of a local NGO under Part 1 of the Project and -2- consisting of we ges of temporary skilled and unskilled workers, purchase of tools, delivery of tools, commercial bank fees for worker payments, printing of worker identification cards and certificates, and fees to master and community trainers in accordance with the LACE Operational Manual; or a set of activitie; identified by the Management Agent and intended to be carried out by the Management Agent or under the supervision of the Management Agent under Part 2 of the Project." (iii) Paragraph 29 is added to Section I of the Appendix to the Agreement to read as follows: "Training and Workshops" means reasonable non-consultant expenditures financed by the proceeds of the Grant, and incurred by agencies of the Recipient under the Project to finance training activities within 1he scope of any Annual Work Plan and budget for the Project as approved by the World Bank, including: (a) transportation costs of trainers and traine -s; (b) trainer's fees; (c) rental of training/workshop facilities and equipment; and (d) acquisition of training/workshop equipment and material. (B) For the purposes of ACGF Grant Number TF097 11 O-LR: (i) The table in Section IV of Schedule 2 to the Agreement is deleted and replaced with the iable below. (2) Consultants' services, gcods, works, vehicles, Trainiig and Work;hops, and 7,500,000 100% Incremental Operating Costs related to activities under Part 2 of the Project TOTAL AMOUNT 10,000,000 (ii) Paragraph 25 of Section I of the Appendix to the Agreement is amended to read is follows: " "Subproject" means a set of activities to be financed by LACE and to be carried out under the supervision of LACE and with the involvement of a local NGO under Part I of the Project and consisting of wages of temporary skilled and unskilled workers, purchase of tools, delivery of tools, commercial bank fees for worker payments, printing of worker identification cards and certificates, and fees to master and community trainers in accordance with the LACE Operational Manual; or -3- a set o§ activities identified by the Management Agent and intended to be carried out by the Management Agent or under the supervis on of the Management Agent under Part 2 of the Project." 4. All other terms and conditions of the Agreements shall remain the same. 5. Please confirm your acceptance to the foregoing, on behalf of the Recipient, by signing and dating the two originals, retaining one original for your records and returning the othei- original to the World Bank. Upon receipt by the World Bank of the original Ame,idment countersigned by yoi, this Amendment will become effective as of the date of countersignature, exce!)ting, however, that the World Bank acknowledges and agrees that withdrawals made before such date under either Agreement under Category (1) in respect of wages, goods, fees, etc. under S jbprojects shall be considered eligible provided that such expenditures shall have been incu -ed as of July 29, 2010.
