First Amendment to Loan Agreement
Dear Minister Herrero: 
We refer to the Loan Agreement between the Republic of Costa Rica (the 
“Borrower”) and the International Bank for Reconstruction and Development (the 
“Bank”) dated February 27, 2008, with respect to the above-captioned Project, as 
amended (“Loan Agreement”). Capitalized terms used in this letter (“Amendment 
Letter”) and not defined herein have the meaning ascribed to them in the Loan 
Agreement.  
Pursuant to your ministry’s request dated September 27, 2010 to modify the 
categories of Eligible Expenditures, we are pleased to inform you that the Bank hereby 
agrees to amend the Loan Agreement as follows:  
 
Sections IV.A.2 and IV.A.3 of Schedule 2 to the Loan Agreement are hereby 
amended to read in its entirety as set forth in Annex I to this Amendment Letter.  
If you agree with the foregoing amendments, please sign and date this letter in the 
space provided below and return one fully executed original to us. The provisions of this 
Amendment Letter will become effective as of the date first above written, upon receipt by 
the Bank of one fully executed original of this Amendment Letter.

All other provisions of the Loan Agreement, except as amended through this 
Amendment Letter shall remain in full force and effect.

3. 
For purposes of paragraph 2 above, the terms: (a) “Operating Costs of INBIO” means 
reasonable recurrent expenditures (not including consultants services ) incurred by INBIO in the 
implementation of Part I.1.(iii) of the Project; and  (b) “Advisory Services” means reasonable 
provision of services by INBIO to the Municipality of Limon, in its capacity of Participating 
Entity, including technical assistance, knowledge transfer and provision of training to personnel 
in the implementation of Part I.1 (iv) of the Project.
