OFFICIAL DOCUMENTS CREDIT NUMBER 6386-KH Financing Agreement (Water Supply and Sanitation Improvement Project) between KINGDOM OF CAMBODIA and INTERNATIONAL DEVELOPMENT ASSOCIATION FINANCING AGREEMENT AGREEMENT dated as of the Signature Date between the KINGDOM OF CAMBODIA ("Recipient") and INTERNATIONAL DEVELOPMENT ASSOCIATION ("Association"). The Recipient and the Association hereby agree as follows: ARTICLE I - GENERAL CONDITIONS; DEFINITIONS 1.01. The General Conditions (as defined in the Appendix to this Agreement) apply to and form part of this Agreement. 1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the General Conditions or in the Appendix to this Agreement. ARTICLE II - FINANCING 2.01. The Association agrees to extend to the Recipient a credit, which is deemed as Concessional Financing for purposes of the General Conditions, in an amount equivalent to thirty-nine million three hundred thousand Special Drawing Rights (SDR 39,300,000) (variously, "Credit" and "Financing"), to assist in financing the project described in Schedule 1 to this Agreement ("Project"). 2.02. The Recipient may withdraw the proceeds of the Financing in accordance with Section III of Schedule 2 to this Agreement. 2.03. The Maximum Commitment Charge Rate is one-half of one percent (1/2 of 1%) per annum on the Unwithdrawn Financing Balance. 2.04. The Service Charge is three-fourths of one percent (3/4 of 1%) per annum on the Withdrawn Credit Balance. 2.05. The Payment Dates are May 15 and November 15 in each year. 2.06. The principal amount of the Credit shall be repaid in accordance with the repayment schedule set forth in Schedule 3 to this Agreement. 2.07. The Payment Currency is Dollar. -2- ARTICLE III - PROJECT 3.01. The Recipient declares its commitment to the objectives of the Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of Article V of the General Conditions and Schedule 2 to this Agreement. ARTICLE IV - REMEDIES OF THE ASSOCIATION 4.01. The Additional Event of Suspension consists of the following, namely, the Regulation on Determination of the Water Tariff has been amended, suspended, abrogated, repealed or waived so as to effect materially and adversely the ability of the Recipient to perform any of its obligations under this Agreement. ARTICLE V - EFFECTIVENESS; TERMINATION 5.01. The Effectiveness Deadline is the date ninety (90) days after the Signature Date. 5.02. For purposes of Section 10.05 (b) of the General Conditions, the date on which the obligations of the Recipient under this Agreement (other than those providing for payment obligations) shall terminate is twenty (20) years after the Signature Date. The Project consists of the following parts: Part 1. Provincial Water Supply Carrying out of a program of activities to expand water supply services to selected towns and communes, through: (a) Water Supply Infrastructure Development and Household Connections. Carrying out civil works for: (i) expansion of the existing water distribution networks in Saen Monourom Town; (ii) construction of a new water production and distribution network in Saen Monourom Town; (iii) construction of a new water production and distribution network in Stoung District; and (iv) construction of necessary elements of small-scale piped water supply systems in selected towns and/or communes. (b) Project Management and Institutional Strengthening. (i) Provision of technical and analytical support for: the development of feasibility studies and follow-on design and documentation for the expansion of water supply systems in Saen Monourom Town and Stoung District, as well as other selected small-scale piped water systems; development of screening and option assessment for investments in small- scale piped water supply systems; review, assessment and, if feasible, development of an output based program for water connection; supervision of water supply works; review the operational status of waterworks in Saen Monourom Town and Stoung District; development of policies, regulations and investment roadmaps for urban water supply; the carrying out of communication campaigns on water safety and other hygiene behaviors; training and capacity building of MIH and selected water service providers; adaptation and implementation of a social accountability framework for selected water supply services; and (ii) Provision of Project management support for Part 1 of the Project, including day-to-day Project implementation and coordination, technical design, construction supervision and management, and independent monitoring of environmental and social safeguards. -6- Part 2. Provincial Sanitation Improvement Carrying out of a program of activities to improve provincial sanitation in Siem Reap City, through: (a) Sanitation Infrastructure Development and Household Connections. Carrying out civil works in Siem Reap City for the: (i) construction of secondary and tertiary sewer network and connection sewers in selected areas of the city; (ii) rehabilitation of three existing wastewater pumping stations; and (iii) augmentation and upgrading of Siem Reap's wastewater treatment plant. (b) Project Management and Institutional Strengthening. (i) Provision of technical and analytical support for the: preparation and design of secondary and tertiary sewers under Part 2.(a) of the Project; light detection and ranging (LIDAR) mapping for future sewer network design in Siem Reap City; construction supervision of sanitation works; implementation of a sewer connection program, including communication campaigns for sewer connections in Siem Reap City; development of policies, regulations and investment roadmaps for urban sanitation; training and capacity building of MPWT, Siem Reap Sewerage and Wastewater Treatment Plant Unit, and other selected sanitation service providers; adaptation and implementation of a social accountability framework for sanitation services in Siem Reap City; and (ii) Provision of Project management support for Part 2 of the Project, including day-to-day Project implementation and coordination, technical design, construction supervision and management, and independent monitoring of environmental and social safeguards; and independent financial audits for the Project. -7- SCHEDULE 2 Project Execution Section I. Implementation Arran2ements A. Institutional Arrangements 1. For the purpose of ensuring the efficient and effective implementation of the Project, the Recipient shall maintain, throughout the period of implementation of the Project, Project implementation structures with composition, functions, staffing and resources satisfactory to the Association and set out in the Project Operation Manual. 2. Without limitation to foregoing, the Recipient shall: (a) (1) establish, not later than three (03) months after the Effective Date, and thereafter maintain a Steering Committee, chaired by a senior official of MPWT and including representatives of MPWT, MIH, MOH, MRD, MEF, NCDD-S, and other relevant ministries and agencies involved in the implementation of the Project, which shall be responsible, inter alia, for: (i) monitoring the overall progress of the Project and providing strategic guidance on its implementation and the achievement of its objectives; and (ii) facilitating coordination of Project activities, policy discussions among the members of the committee, and removal of any obstacles to the timely and effective implementation of the Project; and (2) to this end, ensure that the Steering Committee shall meet at least once every six (6) months during the implementation of the Project; (b) maintain a Component Management Unit within MIH, to be responsible, inter alia, for carrying out Part I of the Project's: day-to-day implementation and management, preparation of relevant Annual Work Plans and Budgets and procurement plan(s), monitoring and evaluation, and management of relevant environmental and social safeguards with the oversight of the IRC / MEF on any resettlement matters; (c) maintain a Component Management Unit within MPWT to be responsible, inter alia, for: (i) overall Project coordination, including arrangement for Project audits, and consolidation of Project reports; and (ii) carrying out Part 2 of the Project's: day-to-day implementation and management, preparation of relevant Annual Work Plans and Budgets and procurement plan(s), monitoring and evaluation, and management of relevant environmental and social safeguards with the oversight of the IRC / MEF on any resettlement matters; and -8- (d) maintain within each Component Management Unit, a Project Support Team to assist the respective Component Management Unit in supervising civil works, monitoring Project progress, coordination, and carrying out community consultations for Project activities at the provincial level. B. Project Operation Manual The Recipient shall ensure that the Project is carried out in accordance with the arrangements and procedures set out in the Project Operation Manual (provided, however, that in the event of any conflict between the arrangements and procedures set out in the Project Operation Manual and the provisions of this Agreement, the provisions of this Agreement shall prevail) and shall not amend, abrogate or waive any provision of Project Operation Manual unless the Association has provided its prior approval thereof in writing. C. Annual Work Plans and Budgets 1 . The Recipient shall prepare and furnish to the Association for its no-objection not later than November 30 of each Fiscal Year during the implementation of the Project (or such later date as the Association may agree), an Annual Work Plan and Budget ("AWPB") for each Respective Part of the Project as approved by the MEF, containing relevant Project activities and expenditures proposed to be included in the Respective Part of the Project in the following Fiscal Year, including a specification of the sources of financing for relevant expenditures, and environmental and social safeguard measures taken or planned to be taken in accordance with the provisions of Part D of this Schedule. 2. The Recipient shall ensure that the Project is implemented in accordance with the AWPB accepted by the Association for the respective Fiscal Year; provided, however, that in the event of any conflict between the AWPB and the provisions of this Agreement, the provisions of this Agreement shall prevail. 3. The Recipient shall not make or allow to be made any change to the AWPB without prior no-objection in writing by the Association. D. Safeguards 1 . The Recipient shall ensure that: (a) the Project is carried out with due regard to appropriate health, safety, social, and environmental standards and practices, and in accordance with the Safeguards Instruments; -9- (b) for each activity under the Project for which the ESMF and the RPF provide for the preparation of a Subproject ESIA, and/or a Subproject ESMP, and a Subproject RAP: (i) proceed to have such Subproject ESIA, and/or Subproject ESMP and Subproject RAP as appropriate: (A) prepared and disclosed in accordance with the ESMF and the RPF, respectively; (B) consulted upon adequately with people affected by the Project as per the ESMF and the RPF, respectively, and submitted to the Association for review and approval; and (C) thereafter adopted, prior to implementation of the activity; and (ii) take such measures as shall be necessary or appropriate to ensure compliance with the requirements of such Subproject ESIA, and/or Subproject ESMP and Subproject RAP in a manner satisfactory to the Association; (c) all measures are taken to implement the Subproject RAPs in a manner and timeframe satisfactory to the Association. To this end, the Recipient shall ensure that: (i) funds are made available to cover all the costs of implementing the RAPs; (ii) prior to carrying out activities which involve displacement, Affected Persons shall be compensated at full replacement cost, resettled and provided with assistance in accordance with the Subproject RAPs, as applicable; and (iii) the implementation, monitoring and evaluation of such Subproject RAPs is completed and reported in a manner satisfactory to the Association. (d) for each activity under the Project for which the IPPF provides for the preparation of a Subproject Indigenous Peoples Plan, the Recipient shall: (a) prior to the carrying out of any said Subproject activity, prepare and/or cause to be prepared and furnish to the Association, a Subproject IPP, in accordance with the IPPF and satisfactory to the Association; and (b) thereafter, adopt and implement, and/or cause to be adopted and implemented, said Subproject Indigenous Peoples' Plan in accordance with its terms and in a manner satisfactory to the Association. 2. The Recipient shall ensure that all bidding documents and contracts for civil works under the Project include the obligation of contractors, and subcontractors and supervising entities to: (a) comply with the relevant aspects of Safeguard -10- Instruments; (b) adopt and implement measures to assess and manage the risks and impacts of labor influx and workers' camps; and (c) adopt and enforce codes of conduct that should be provided to and signed by all workers, detailing measures on environmental, social, health and safety, gender-based violence and violence against children; all as applicable to such civil works commissioned or carried out pursuant to said contracts. 3. The Recipient shall maintain, throughout Project implementation, and publicize the availability of a grievance mechanism, in form and substance satisfactory to the Association, to hear and determine fairly and in good faith all complaints raised in relation to the Project and take all measures necessary to implement the determinations made by such mechanism in a manner satisfactory to the Association. 4. The Recipient, prior to commencement of any Sub-project activities that rely on the performance of an existing dam and/or a dam under construction, shall: (a) carry out a safety inspection of such dam by independent experts whose terms of reference and qualifications shall be satisfactory to the Association; (b) provide to the Association an inspection report of such dam, including findings and recommendations for any remedial work and/or safety improvement measures to upgrade such dam to an acceptable standard of safety; and (c) based on the results of said inspection report and in accordance with the ESMF, (i) prepare and furnish to the Association a Subproject Dam Safety Plan (DSP) for its review and no-objection, (ii) adopt and implement or cause to be implemented said plan, taking into account the views of the Association; and (iii) establish and/or maintain an entity with mandate, composition and resources acceptable to the Association, responsible for implementation of said plans. 5. The Recipient shall ensure that: (a) all consultancies related to technical assistance, design and capacity building under the Project, the application of whose results could have environmental, social and health and safety implications, shall only be undertaken pursuant to terms of reference reviewed and found satisfactory by the Association; and (b) such terms of reference shall require the technical assistance, design and capacity building activities to take into account the requirements of the applicable Association's Safeguards Policies and EHS Guidelines. 6. Except as the Association shall otherwise agree in writing, the Recipient shall ensure that none of the provisions of the Safeguard Instruments be abrogated, amended, repealed, suspended or waived. In case of any inconsistencies between -11- the provisions of any of the Safeguard Instruments and the provisions of this Agreement, the provisions of this Agreement shall prevail. 7. Without limitation upon its other reporting obligations under this Agreement, the Recipient shall: (a) take all measures necessary on its part to regularly collect, compile, and submit to the Association, as part of the Project Reports, and promptly in a separate report whenever the Association may require, information on the status of compliance with the Safeguards Instruments, all such reports in form and substance acceptable to the Association, setting out, inter alia: (i) the status of implementation of the Safeguards Instruments; (ii) conditions, if any, which interfere or threaten to interfere with the implementation of the Safeguards Instruments; and (iii) corrective and preventive measures taken or required to be taken to address such conditions; (b) promptly furnish to the Association a copy of each progress report prepared and submitted by any entity (including any engineer) supervising the Project's civil works, the Project's contractors and/or subcontractors; and (c) promptly notify the Association of any incident or accident related to or having an impact on the Project which has, or is likely to have, a significant adverse effect on the environment, the affected communities, the public or workers. Section II. Project Monitoring, Reporting and Evaluation A. Project Reports The Recipient shall furnish to the Association each Project Report not later than forty-five (45) days after the end of each calendar semester, covering the calendar semester. B. Mid-term Review The Recipient shall: (a) on or about the date thirty (30) months after the Effective Date, prepare and furnish to the Association a mid-term report, in such detail as the Association shall reasonably request, documenting progress achieved in the carrying out of the Project during the period preceding the date of such report, taking into account the monitoring and evaluation activities performed pursuant to this Part A, and setting out the measures recommended to ensure the continued efficient carrying out of the Project and the achievement of its objectives during the period following such date; and (b) review with the Association such -12- mid-term report, on or about the date forty-five (45) days after its submission, and thereafter take all measures required to ensure the continued efficient implementation of the Project and the achievement of its objectives, based on the conclusions and recommendations of the mid-term report and the Association's views on the matter. Section HI. Withdrawal of the Proceeds of the Financing A. General Without limitation upon the provisions of Article II of the General Conditions and in accordance with the Disbursement and Financial Information Letter, the Recipient may withdraw the proceeds of the Financing to finance Eligible Expenditures; in the amount allocated and, if applicable, up to the percentage set forth against each Category of the following table: Category Amount of the Credit Percentage of Expenditures to Allocated (expressed in be Financed SDR) (inclusive of Taxes) (1) Goods, works, 21,800,000 100% non-consulting services, and consulting services, Training and Operating Costs for Part 1 of the Project (2) Goods, works, 17,500,000 100% non-consulting services, and consulting services, Training and Operating Costs for Part 2 of the Project TOTAL 39,300,000 AMOUNT -13- B. Withdrawal Conditions; Withdrawal Period 1. Notwithstanding the provisions of Part A above, no withdrawal shall be made for payments made prior to the Signature Date. 2. The Closing Date is June 28, 2024. -14- SCHEDULE 3 Repayment Schedule Principal Amount of the Date Payment Due Credit repayable (expressed as a percentage)* On each May 15 and November 15, commencing May 1.5625% 15, 2025 to and including November 15, 2056 * The percentages represent the percentage of the principal amount of the Credit to be repaid, except as the Association may otherwise specify pursuant to Section 3.05 (b) of the General Conditions. -15- APPENDIX Section I. Definitions 1. "Affected Person" means a person or entity who, on account of the execution of the Project and/or Subprojects, has experienced or would experience direct economic and social impacts caused by: (i) the involuntary taking of land resulting in: (A) relocation or loss of shelter; (B) loss of assets or access to assets; or (C) loss of income sources or means of livelihood, whether or not such person must move to another location; or (ii) the involuntary restriction of access to legally designated parks and protected areas, resulting in adverse impacts on the livelihood of such person; and, "Affected Persons", means more than one such Affected Person. 2. "Annual Work Plan and Budget" and the acronym "AWPB" each means the plan and budget referred to in Section I.C of Schedule 2 to this Agreement; as said plan may be modified from time to time with the prior written no-objection of the Association. 3. "Anti-Corruption Guidelines" means, for purposes of paragraph 5 of the Appendix to the General Conditions, the "Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants", dated October 15, 2006 and revised in January 2011 and as of July 1, 2016. 4. "Category" means a category set forth in the table in Section III of Schedule 2 to this Agreement. 5. "Component Management Unit" means: (a) with respect to Part I of the Project, the unit established and maintained by the MIH, and (b) with respect to Part 2 of the Project, the unit established and maintained by the MPWT; both as referred to in Section I.A.2 of Schedule 2 to this Agreement, or any successor thereto; and "Component Management Units" means, collectively, both said units. 6. "EHS Guidelines" means the World Bank Group Environmental, Health and Safety Guidelines published on www.ifc.org/ehsguidelines, as said guidelines are updated from time to time. 7. "Environmental and Social Management Framework" or "ESMF" means, the environmental and social management framework, prepared and adopted by the Recipient, satisfactory to the Association, dated December 2018, disclosed in- country, and the Association's website on February 6, 2019, setting out the principles, rules, guidelines and procedures to screen and assess the potential adverse environmental and social risks and impacts (including health and safety issues) of Project activities, including the risks of gender-based violence and -16- sexual exploitation and abuse, adopt measures to avoid, reduce, mitigate or offset environmental and social adverse risks and impacts, including measures that endeavor to prevent and respond to gender-based violence and sexual exploitation and abuse, procedural, budget and institutional arrangements and actions needed to implement these measures, and information on the agency or agencies responsible for addressing the Projects' risks and impacts; as well as for the preparation of environmental and social management plans, as such framework may be amended by the Recipient from time to time, with the prior written agreement of the Association. 8. "General Conditions" means the "International Development Association General Conditions for IDA Financing, Investment Project Financing", dated December 14, 2018. 9. "Indigenous Peoples Planning Framework" or "IPPF" means the indigenous peoples planning framework prepared and adopted by the Recipient satisfactory to the Association, dated December 2018 and disclosed on the Association's website on February 6, 2019, which sets out the principles, organizational arrangements (including consultation, budget and disclosure), and design criteria to be applied to Project and Subproject activities which affect indigenous peoples, including the preparation of indigenous peoples plans, as such framework may be amended from time to time with the prior written agreement of the Association. 10. "IRC" means the Recipient's Inter-Ministerial Resettlement Committee, and any successor thereto. 11. "MEF" means the Recipient's Ministry of Economy and Finance, or any successor thereto. 12. "MIH" means the Recipient's Ministry of Industry and Handicraft, or any successor thereto. 13. "MOH" means the Recipient's Ministry of Health, or any successor thereto. 14. "MPWT" means the Recipient's Ministry of Public Works and Transport, or any successor thereto. 15. "MRD" means the Recipient's Ministry of Rural Development, or any successor thereto. 16. "NCDD-S" means the Recipient's National Committee for Sub-National Democratic Development Secretariat, or any successor thereto. 17. "Operating Costs" means the reasonable costs of goods and non-consulting services required for the day-to-day coordination, administration and supervision of Project activities, including leasing and/or routine repair and maintenance of -17- vehicles, equipment, facilities and office premises, fuel, office supplies, utilities, consumables, communication expenses (including postage, telephone and internet costs), transportation, translation, printing and photocopying expenses, bank charges, publications and advertising expenses, insurance, Project-related meeting expenses, Project-related travel, subsistence and lodging expenses, contractual support. staff and other administrative costs directly related to the Project, but excluding salaries, bonuses, fees and honoraria or equivalent payments of members of the Recipient's civil service. 18. "Procurement Regulations" means, for purposes of paragraph 87 of the Appendix to the General Conditions, the "World Bank Procurement Regulations for IPF Borrowers", dated July 2016, revised November 2017 and August 2018. 19. "Project Operation Manual" means the manual dated March 15, 2019, adopted by the Recipient for the implementation of the Project referred to in Section I.B of Schedule 2 to this Agreement, containing detailed arrangements and procedures for: (a) institutional coordination and day-to-day execution of the Project; (b) disbursement and financial management; (c) procurement; (d) environmental and social safeguard implementation measures; (e) monitoring and evaluation, reporting and communication; (f) an integrity action plan, and (g) such other administrative, financial, technical and organizational arrangements and procedures as shall be required for the Project; as said manual may be modified from time to time with the prior written approval of the Association, and such term includes any schedules to such manual. 20. "Project Support Team" means, individually, a team established and maintained under each Component Management Unit in accordance with Section I.A.2.(d) of Schedule 2 to this Agreement, or any successor thereto. 21. "Regulation on the Determination of the Water Tariff' means the Prakas No. 069 MIH/2016 dated March 04, 2016, issued by the MIH governing the water tariff to be charged to consumers of water service providers. 22. "Resettlement Policy Framework" or "RPF" means the resettlement policy framework prepared and adopted by the Recipient, satisfactory to the Association, dated December 2018, and disclosed on the Association's website on February 6, 2019, which sets out the resettlement principles, guidelines, organizational arrangements (including consultation and budget), and design criteria for the preparation of RAPs under the Project and Subprojects, as such framework may be amended from time to time with the prior written agreement of the Association. 23. "Respective Part of the Project" means (a) Part 1 of the Project to be implemented by the Recipient, through MIH, and (b) Part 2 of the Project to be implemented by the Recipient, through MPWT. -18- 24. "Saen Monourom Town" means the town of the same name located in the Recipient's province of Mondul Kiri. 25. "Safeguard Instruments" means collectively, the ESIA, ESMF, ESMP, Subproject ESIA, Subproject ESMP, Subproject DSP, IPPF, Subproject IPP, RPF, and Subproject RAP, and "Safeguard Instrument" means any of such Safeguards Instruments. 26. "Safeguard Policies" means, the Operational Policies (OPs) and Bank Procedures (BPs) of the Association, namely OP/BP 4.01 (Environmental Assessment), OP/BP 4.04 (Natural Habitats), OP/BP 4.09 (Pest Management), OP/BP 4.10 (Indigenous Peoples), OP/BP 4.11 (Physical Cultural Resources), OP/BP 4.12 (Involuntary Resettlement), OP/BP 4.36 (Forests), and OP/BP 4.37 (Safety of Dams); they can be found at https://policies.worldbank.org. 27. "Siem Reap City" means the city of the same name located in the Recipient's province of Siem Reap. 28. "Siem Reap Sewerage and Wastewater Treatment Plant Unit" means the Recipient's unit established and operating in accordance with the Prakas Number 074 dated February 11, 2007, issued by MPWT, or any successor thereto. 29. "Signature Date" means the later of the two dates on which the Recipient and the Association signed this Agreement and such definition applies to all references to "the date of the Financing Agreement" in the General Conditions. 30. "Steering Committee" means the committee to be established and maintained by the Recipient in accordance with Section I.A.2.(a) of Schedule 2 to this Agreement, or any successor thereto. 31. "Stoung District" means the district of the same name located in the Recipient's province of Kampong Thom. 32. "Subproject" means a specific activity within the Project, which is identified and appraised during the implementation of the Project, selected in accordance with the provisions of this Agreement and the Project Operation Manual, and proposed to be financed with the proceeds of the Credit. 33. "Subproject Dam Safety Plan" or "Subproject DSP" means any dam safety plan to be prepared by the Recipient in accordance with the ESMF pursuant to Section I.D.4 of Schedule 2 to this Agreement, each such plan in form and substance satisfactory to the Association, setting out, inter alia, remedial works construction supervision and quality assurance plan, instrumentation plan, operation and maintenance plan, and emergency preparedness plan, as well as any required remedial work and/or other dam safety improvement measures to be implemented -19- under the Project, as said plan may be modified from time to time with the prior written no-objection of the Association, and such term includes any annexes and schedules to such plan. 34. "Subproject Environmental and Social Impact Assessment" or "Subproject ESIA" means: (i) any environmental and social impact assessment to be prepared for civil works to be carried out under a Subproject; and (ii) any site-specific environmental and social impact assessment to be prepared pursuant to the ESMF for a Subproject in each case describing a set of mitigation, enhancement, monitoring, and institutional measures to be taken during implementation of the Subproject to avoid, minimize and mitigate adverse environmental and social impacts, offset them, or reduce them to acceptable levels, or to enhance positive impacts; as said environmental impact and social assessments (a) are satisfactory to the Association, (b) have been published by the Recipient, (c) have been published on the Association's website, and (d) may be amended and/or supplemented from time to time with the prior written agreement of the Association. "Subproject ESIAs" means, collectively, all such ESIAs. 35. "Subproject Environmental and Social Management Plan" or "Subproject ESMP" means the instrument to be prepared for any Subproject, as applicable, in accordance with the procedures and requirements under the ESMF, satisfactory to the Association, which details: (a) the measures to be taken during the implementation and operation of the Subproject to avoid, minimize, mitigate or offset adverse environmental and social impacts (including health and safety issues), or to reduce them to acceptable levels; and (b) the actions needed to implement these measures, as said instrument may be amended from time to time with the Association's prior written agreement; and "Subproject ESMPs" means, collectively, all such ESMPs. 36. "Subproject Indigenous Peoples Plan" or "Subproject IPP" means any indigenous peoples plan to be prepared by the Recipient for a Subproject in accordance with the IPPF pursuant to Section I.D of Schedule 2 to this Agreement, in form and substance satisfactory to the Association, which includes the principles, procedures, organizational arrangements and budget to implement indigenous peoples related activities under the Project, or under parts of the Project, as said indigenous peoples plan may be revised from time to time with the prior written agreement of the Association. 37. "Subproject Resettlement Action Plan" or "Subproject RAP" means the instrument to be prepared for any Subproject, as applicable, in accordance with the procedures and requirements of the Resettlement Policy Framework, which includes the principles, procedures, organizational arrangements and budget to implement the resettlement related activities under the Subproject, as said resettlement action plan may be revised from time to time with the prior written agreement of the Association; and "Subproject RAPs" means, collectively, all such RAPs. -20- 38. "Training" means the reasonable costs of goods and services required for the participation of personnel involved in training activities, workshops and study tours under the Project, including travel and subsistence costs for training, workshop and study tour participants, costs associated with securing the services of trainers, rental of training and workshop facilities, preparation and reproduction of training and workshop materials, and other costs directly related to training course, workshop or study tour preparation and implementation, but excluding consultants' fees and salaries, bonuses, fees and honoraria or equivalent payments of members of the Recipient's civil service.
