Amendment No. 2 to the Administration Arrangement between the Government of Canada, acting
 through the Department of Foreign Affairs, Trade and Development (DFATD), and the International
 Bank for Reconstruction and Development and the International Development Association regarding
the Umbrella Facility for Gender Equality (UFGE) Multi-Donor Trust Fund (Trust Fund No. 071893)


1.       Reference is made to the Administration Arrangement between the Government of Canada, acting
through the Department of Foreign Affairs, Trade and Development (DFATD) (the “Donor”), and the
International Bank for Reconstruction and Development and the International Development Association
(collectively, the “Bank” and together with the Donor, the “Participants” and each a “Participant”),
regarding the Umbrella Facility for Gender Equality (UFGE) Multi-Donor Trust Fund (Trust Fund No.
071893) (the “Trust Fund”) effective as of November 13, 2012, as amended (the “Administration
Arrangement”).

2.      The Participants mutually decide to amend the Administration Arrangement as follows:

        (a)   A new paragraph 7 will be added to read as follows, and the subsequent paragraph will be
        renumbered accordingly:

        “7.     All references made in the Annexes to “shall” and “Agreement” will have the same
        meaning as the term “will” and “Arrangement” herein. In addition, references in the Annexes to
        “agreements” or to tenses of the verb “to agree” will be deemed to constitute references to
        “decisions” or to tenses of the verb “to decide.”

        (b)     A new paragraph 9.3 will be added to Annex 2 to read as follows:

        “9.3     In providing funds under this Administration Agreement, the Donors do not accept any
        responsibility or liability towards any third parties including any claims, debts, demands, damage
        or loss as a result of the implementation of the activities under the Trust Fund.”

3.     In accordance with the provisions of paragraph 6 of the Supplemental Arrangement signed between
the Donor and the Bank on August 27, 2018 as amended, the amendment in sub-paragraph 2 (a) and (b)
above will also apply to the funds in the Parallel Account (TF No. TF072809 parallel to original Trust Fund
No. TF071893).

4.      All other terms of the Administration Arrangement will remain the same.

5.       Each of the Participants represents, by confirming its acceptance below, that it is authorized to enter
into this Amendment and act in accordance with its provisions. The Bank and the Donor are each requested
to sign and date this Amendment, and upon possession by the Bank of this fully signed Amendment, this
Amendment will come into effect as of the date of the last signature; provided, however, that the amendment
of Annex 2 to the Administration Arrangement in paragraph 2 (b) above will only come into effect upon
possession by the Bank of written acceptance by all donors contributing to the Trust Fund.
