Matia Kasaija Minister of Finance, Planning and Economic Development Ministry of Finance, Planning and Economic Development Kampala Uganda Honorable Kasaija: Re: Uganda: Reproductive, Maternal, and Child Health Services Improvement Project Credit Number 589 7-UG Amendment to the Financing Agreement We refer to the Financing Agreement (the Agreement) for the above-mentioned Project, dated January 19, 2017, between the Republic of Uganda ("Recipient") and the International Development Association ("Association"). We also refer to the need to include a contingency emergency response component in the Agreement. The Association hereby proposes to amend the Agreement as follows: 1. The following Part 5 is added to Schedule 1: "Part 5. CONTINGENCY EMERGENCY RESPONSE Carrying out a program of activities designed to provide rapid response to disaster, emergency or catastrophic events (Eligible Crisis or Emergency), as needed." 2. The followink Parajraph H is added to Section I ofSchedule 2: "H. Contingent Emergency Response I. In order to ensure the proper implementation of contingent emergency response activities under Part 5 of the Project ("Emergency Response Part"), the Recipient shall: (a) prepare and furnish to the Association for its review and approval, a Contingent Emergency Response Implementation Plan ("CERIP"), or Contingent Emergency Response Implementation Plans ("CERIPs"), as the case may be, for each Eligible Crisis or Emergency, which shall set forth detailed implementation arrangements for the Emergency Response Part, including: (i) any special institutional W AT arrangements for coordinating and implementing the Emergency Response Part; (ii) specific activities which may be included in the Emergency Response Part, Eligible Expenditures required therefor ("Emergency Expenditures"), and any procedures for such inclusion; (iii) financial management arrangements for the Emergency Response Part; (iv) procurement methods and procedures for the Emergency Response Part; (v) documentation required for withdrawals of Emergency Expenditures; (vi) application of the ESMF, and/or the relevant Safeguards Instruments to the Emergency Response Part; and (vii) any other arrangements necessary to ensure proper coordination and implementation of the Emergency Response Part; (b) afford the Association a reasonable opportunity to review the proposed CERIP(s); (c) promptly adopt the CERIP(s) for the Emergency Response Part as shall have been accepted by the Association; (d) ensure that the Emergency Response Part is carried out in accordance with the CERIP(s); provided, however, that in the event of any inconsistency between the provisions of the CERIP(s) and this Agreement, the provisions of this Agreement shall prevail; and (e) not amend, suspend, abrogate, repeal or waive any provision of the CERIP(s) without prior written approval by the Association. 2. The Recipient shall ensure that no activities under the Emergency Response Part shall commence unless and until the following conditions have been met in respect of said activities: (a) the Recipient has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Association a request to include said activities in the Emergency Response Part in order to respond to said Eligible Crisis or Emergency, and the Association has agreed with such determination, accepted said request and notified the Recipient thereof; and (b) the Recipient has ensured the preparation and disclosure of all Safeguard Instruments required for said activities, in accordance with the ESMF, the Association has approved all such instruments, and the Recipient has ensured the implementation of any actions which are required to be taken under said instruments." 3. The following paragraph E is added to Section III ofSchedule 2 to the Agreement: "E. Procurement of Emergency Expenditures under the Emergency Response Part Notwithstanding any provision to the contrary in this Section, Emergency Expenditures required for activities included in the Emergency Response Part shall be procured in accordance with the procurement methods and procedures set forth in the CERIP(s)." 4. Section IVofSchedule 2 (Withdrawal ofthe Proceeds of the Financing) is deleted and replaced with the one in the Annex to this letter. 5. The following definitions 10, 11 and 12 are added to the Appendix to the Agreement and existing definitions 10 (Environmental and Social Management Framework) through 53 (Uganda Shillings) are renumbered 13 through 56. "10. "Eligible Crisis or Emergency" means an event that has caused, or is likely to imminently cause, a major adverse economic and/or social impact to the Recipient, associated with a natural or man-made crisis or disaster." "I1. "Emergency Expenditure" means any of the eligible expenditures set forth in the CERIP in accordance with the provisions of Section I.H of Schedule 2 to this Agreement, and required for the Emergency Response Part." "12. "Emergency Response Part" means a specific activity or activities to be carried out in the event of an Eligible Crisis or Emergency under Part 5 of the Project" All provisions of the Agreement which are not expressly modified in accordance with this letter remain unchanged. Please indicate your agreement with the foregoing, by countersigning and dating the two original copies of this letter and returning one countersigned original copy to the World Bank. Upon receipt by the World Bank of said original countersigned by the authorized representative of the Recipient and dated, this amendment shall become effective as of the date of countersignature of this letter. Withdrawal of the Proceeds of the Financing A. General 1. The Recipient may withdraw the proceeds of the Financing in accordance with the provisions of Article II of the General Conditions, this Section, and such additional instructions as the Association shall specify by notice to the Recipient (including the "World Bank Disbursement Guidelines for Projects" dated May 2006, as revised from time to time by the Association and as made applicable to this Agreement pursuant to such instructions), to finance Eligible Expenditures as set forth in the table in paragraph 2 below. 2. Withdrawal Conditions; Withdrawal Period 1. Notwithstanding the provisions of Part A of this Section, no withdrawal shall be made: (a) under Category 1, unless and until the Recipient, through MoH, has appointed an IVA in accordance with the provisions of Section I.F.2 of this Schedule 2; or (b) under Category 3, unless and until the Recipient, through NIRA, has appointed an account assistant and a Project officer, all in accordance with the provisions of Section III of this Schedule 2. (c) Emergency Expenditures under Category (4), unless and until the Association is satisfied, and has notified the Recipient of its satisfaction, that all of the following conditions have been met in respect of said activities: (i) the Recipient has determined that an Eligible Crisis or Emergency has occurred, has furnished to the Association a request to include said activities in the Emergency Response Part in order to respond to said Eligible Crisis or Emergency, and the Association has agreed with such determination, accepted said request and notified the Recipient thereof; (ii) the Recipient has ensured that all Safeguards Instruments required for said activities have been prepared and disclosed, and the Recipient has ensured that any actions which are required to be taken under said instruments have been implemented, all in accordance with the provisions of Sections I.G and I.H of this Schedule 2; (iii) the agencies in charge of coordinating and implementing the Emergency Response Part have adequate staff and resources, in accordance with the provisions of Section I.H of this Schedule 2, for the purposes of said activities; and (iv) the Recipient has adopted the CERIP(s) in form, substance and manner acceptable to the Association and the provisions of the CERIP(s) remain or have been updated in accordance with the provisions of Section I.H of this Schedule 2 so as to be appropriate for the inclusion and implementation of the Emergency Response Part ". 2. The Closing Date is June 30, 2021.
