Amendment to the Development Credit Agreement 
 
Excellency: 
 
We refer to the Financing Agreement between Republic of Benin (the Recipient) and the 
International Development Association (the Association) dated March 2, 2007 (the Agreement). We also 
refer to the Project Agreement of the same date, between the Association and 
Communauté Electrique du 
Bénin
 (the Project Agreement).  
 
Pursuant to your letter dated October 6, 2010, requesting for amendment to the Agreement, to 
extend the Closing Date, the Association concurs with your request and has proposed to amend the 
Agreement as set forth in this letter (the Amendment).  
 
1. 
Section III of Schedule 2 to the Agreement shall be amended as follows: 
 
(a) 
Section III.A.1 shall read as follows:  
 
“1. “
Goods and Works.
 
All goods and works required for the Project and to be 
financed out of the proceeds of the Financing shall be procured in accordance 
with the requirements set forth or referred to in Section I of the Procurement 
Guidelines, and with the provisions of this Schedule.”” 
 
(b) 
Section III.B shall be amended as follows: (i) the title of that Section shall read: 
“
Particular Methods of Procurement of Goods and Works
.” and ; (ii) Section III.B.2 
shall be amended to read as follows: 
 
“2. “
Other Methods of Procurement of Goods and Works. 
The following 
methods, other than International Competitive Bidding, may be used for goods 
and works for those contracts specified in the Procurement Plan: (a) National 
Competitive Bidding; and (b) Shopping.””

The table set forth in Section IV.A.2 of Schedule 2 to the Agreement is amended as set forth in 
the Annex to this Amendment.

Section IV.B.2 of Schedule 2 to the Agreement shall be amended to read as follows: 
 
“2. “The Closing Date is June 30, 2013.” 
 
All other provisions of the Agreement, as amended herein, shall remain in full force and effect.  
 
Please indicate your agreement with the foregoing amendment to the Agreement on behalf of the 
Recipient by countersigning and dating the two original copies of this letter and returning one 
countersigned original to us. The amendments to the Agreement shall become effective as of the date of 
countersignature of this letter.
